These Terms of Service (the "Terms") govern your access to and use of the website of Aureo Capital, a brand of Spica LLC, a Montana (United States) limited liability company ("Spica LLC," "we," "us," or "our"), and the information and services made available through it (the "Site").

By accessing or using the Site, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Site.

1. The Services

Aureo Capital provides business advisory services, including business valuation analysis and advisory support in connection with the purchase and sale of privately held operating businesses, with a focus on Argentina and Latin America (the "Services"). The Site describes the Services and allows you to contact us.

Any engagement for Services is governed by a separate written agreement between you and Spica LLC (or its designated affiliate). Nothing on the Site constitutes an offer to provide Services, and no advisory relationship is created by your use of the Site or by submitting an inquiry.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SPICA LLC AND ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF (OR INABILITY TO USE) THE SITE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL OUR AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SITE EXCEED ONE HUNDRED U.S. DOLLARS (USD $100). SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

You agree to indemnify, defend, and hold harmless Spica LLC and its members, managers, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to your violation of these Terms or your misuse of the Site.

11. Governing Law and Disputes

These Terms and any dispute arising out of or relating to them or the Site are governed by the laws of the State of Montana, United States, without regard to conflict-of-law principles. You agree that the exclusive venue for any such dispute shall be the state or federal courts located in the State of Montana, and you consent to personal jurisdiction in those courts. Any cause of action arising out of the Site must be commenced within one (1) year after it accrues, or it is permanently barred.

12. Changes to the Terms

We may revise these Terms from time to time. The updated version will be posted on this page with a revised "Last updated" date. Your continued use of the Site after changes become effective constitutes acceptance of the revised Terms.

13. General

If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in full force and effect. Our failure to enforce any right or provision is not a waiver. These Terms, together with the Privacy Policy and the Disclaimer, constitute the entire agreement between you and Spica LLC regarding use of the Site.
